WEUHA GOVERNANCE

 

LETTER OF UNDERSTANDING

 

Governance Board Composition and Structure

The membership understands that:

  • WEUHA business and activities are guided by the Governance Board

  • The Governance Board is comprises equal participating agency members

  • Participating agency members must carry appropriate decision-making authority on behalf of their agency or institution

  • Membership is expected to reflect the community structure and diversity as it relates to health care services

  • The Governance board will appoint the Treasurer who is to be a member of the Trustee Organization, and accountable for financial reporting and ensuring an independent audit

  • The Governance Board will appoint the Steering Committee who will help guide the efforts of the Alliance. Primary tasks of the Steering Committee include:

·         Outlining broad strategic directions for the Alliance

·         Identifying local initiatives where Alliance support is needed to grow and flourish

·         Initiating and overseeing advocacy campaigns

·         Providing regular updates to the membership on issues of mutual interest

·         Setting topics and agendas for full WEUHA membership meetings

·         Overseeing the financial management of the Alliance

·         Participating in City-wide network meetings

·         Evaluating the work of the Alliance on an annual basis

Terms of Reference

The membership understands that its purpose and major responsibilities of the WEUHA Governance Board are:


  • To participate in the planning of the Alliance's future strategic thrusts, policy development and project initiatives

 

  • To advocate for the Alliance in relation to relative system local issues


 

  • To advocate for, and secure resources for the Alliance and its members


 

  • To support the activities of the Alliance, and to make decisions related to initiatives including the participation of external organizations

 

  • To ensure appropriate communication with each participating agency, the local community and other stakeholders

Decision-Making

  • WEUHA shall strive for consensus leading to unanimity.  When a matter must be put to a vote, the matter shall carry by majority of the individual member votes of the Governance Board.


  • If a vote is tied, the matter shall be rejected, pending further dialogue to ultimately reach consensus

  • A confidential vote can take place upon request

  • Members are entitled to abstain from an initiative, without withdrawing from WEUHA, and when required, to have the decision to abstain publicly recorded on appropriate documents / reports.
